2.2. You agree to notify us immediately if you become aware of any unauthorized use or breach of security related to your account. We reserve the right to suspend or terminate your account if we suspect any unauthorized activity.

Account Termination

3.1. You may terminate your account at any time by following the instructions provided on the CodeThreat platform. Termination of your account will result in the removal of your access to the Service and may result in the deletion of your data.

3.2. We reserve the right to suspend or terminate your account if you violate these Terms or engage in any activity that may harm the integrity or security of the Service.

Responsibility of Website Visitors

1.1. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable right to access and use the CodeThreat platform for your internal business purposes during the term of your subscription.

2. Intellectual Property Rights

2.1. You will acquire no rights in CodeThreat Intellectual Property except to use it solely for the purpose provided herein, and only during the time you use the services.

2.4. You may not reproduce, modify, distribute, sell, lease, or create derivative works based on the CodeThreat platform or its content without our prior written consent.

Services

While CodeThreat strives to provide a comprehensive vulnerability identification and monitoring service, we do not warrant or guarantee that the Service will be able to find and monitor all vulnerabilities in all dependencies, including open source dependencies, used by your application or code.

Our open source vulnerability database is continuously updated, but we cannot guarantee that it encompasses every existing vulnerability. You acknowledge that the database serves as a valuable resource but does not provide any legal or professional advice regarding the Services.

1. Hosting

1.1. CodeThreat offers a hosting service that allows you to access and use the CodeThreat platform through our servers. By utilizing the hosting service, you acknowledge and agree to comply with any applicable usage guidelines or policies provided by CodeThreat.

1.2. While we strive to maintain a reliable and secure hosting environment, you acknowledge that the hosting service may be subject to occasional interruptions, delays, or errors. We do not guarantee uninterrupted access to the Service and are not liable for any damages or losses arising from such interruptions.

2. Enterprise

2.1. CodeThreat provides enterprise-level solutions tailored to the specific needs of large organizations. These solutions may include additional features, functionalities, or support services beyond those available in standard plans. Please refer to the specific terms and conditions of your enterprise agreement for details on the services provided.

Accessing the Service

Your access to and use of the CodeThreat services are subject to the subscription plan you have selected. The details of the available subscription plans and the services provided under each plan can be found on our website at codethreat.com/pricing.

You acknowledge and agree that your use of the services will be limited to the features and resources provided within your selected subscription plan. If you exceed the usage limits specified in your plan, additional fees may apply as outlined in the pricing terms.

We will make reasonable efforts to notify you when you are approaching or exceeding the usage limits of your subscription plan. However, you are solely responsible for monitoring your usage and ensuring compliance with the plan's limits.

You agree not to use the services in any way that could damage, disable, overburden, or impair the functionality or performance of the services or interfere with other users' access to the services. Any unauthorized use of the services or any violation of these terms may result in the termination of your access to the services and may be subject to legal consequences. CodeThreat strives to ensure the availability and reliability of the services. However, there may be occasions when access to the services is temporarily interrupted or unavailable due to scheduled maintenance, system upgrades, or circumstances beyond our control.

We will make reasonable efforts to minimize any planned downtime and provide advance notice when possible. However, there may be instances of emergency maintenance or unexpected outages that require immediate attention without prior notification.

CodeThreat shall not be liable for any damages or losses resulting from the unavailability or interruption of the services, whether scheduled or unscheduled.

Using the Service

You acknowledge and agree that you will not engage in the following activities while using the CodeThreat services:

  • Embed our Services, Platform, Documentation, or Service Data into any product of yours or any third party without prior written consent from CodeThreat.

  • Make available, by way of crawling, scraping, spidering, or any other automated or manual means, any part of the Services, the Platform, the Documentation, or the Service Data without explicit permission from CodeThreat.

  • Copy or access all or any part of the Services, the Platform, the Documentation, or the Service Data other than through the interface(s) provided by CodeThreat.

  • Use web-crawlers, bots, or scripts to copy or access any part of the Services, the Documentation, or the Service Data without explicit authorization.

  • Circumvent or attempt to override any security features installed by CodeThreat around the Services, the Platform, the Documentation, or the Service Data.

  • Copy, in part or in whole, our database of vulnerabilities without prior written consent from CodeThreat.

  • The use of CodeThreat services for your company and other software used within your organization is essential. The use of CodeThreat services for external applications and/or third-party applications not directly used by the organization is strictly prohibited for any purposes not supported by CodeThreat, for whatever reason.

    To eliminate any doubt, CodeThreat services serve the purpose of addressing software security vulnerabilities identified through the use of these services. Any form of malicious use, or reverse engineering is strictly prohibited, and any responsibility arising from non-compliance responsibility with the user. CodeThreat does not, under any circumstances, approve of reverse engineering, whether for CodeThreat platform or for other software developed using CodeThreat services

Payment and Renewable

CodeThreat offers services on a subscription basis. The pricing details, including the subscription plans and associated fees, will be provided on our website or through separate agreements or communications. By subscribing to our services, you agree to pay the applicable fees associated with your chosen subscription plan. The fees may be subject to taxes or additional charges, as required by law. CodeThreat accepts payment through the designated payment methods stated on our website or as communicated to you separately. For monthly subscriptions, payment will be automatically deducted on a recurring monthly basis, using the payment method provided by you at the time of subscription. For annual subscriptions, payment will be automatically deducted on a recurring basis for a 12-month period from the date of subscription and will be renewed automatically for subsequent 12-month periods unless you choose to cancel your subscription. It is your responsibility to ensure that your payment information remains accurate and up to date. Failure to update your payment information may result in interruption or termination of your access to the services.

Unless you notify us at least prior to the end of your current subscription term, your subscription will automatically renew for the same term as your initial subscription.

By choosing the automatic renewal option, you authorize us to charge the applicable fees to your chosen payment method on file for the renewal term.

If you wish to cancel the automatic renewal, you must follow the cancellation process outlined in the "Cancellation" section of this Terms of Service agreement. If you believe there is an error or discrepancy in the fees charged to your account, you must notify us promptly and provide relevant details to support your claim. We will review and investigate any payment dispute and, if necessary, take appropriate actions to resolve the issue.

CodeThreat reserves the right to modify the fees associated with the services at any time. We will provide you with reasonable notice of any fee changes. Your continued use of the services after the fee changes become effective constitutes your acceptance of the new fees.

Collecting Data and Rights You Give Us

You retain full ownership of the data, code, and materials that you upload, submit, or transmit through the CodeThreat platform ("Project Data"). CodeThreat respects your ownership rights and does not claim ownership over your Project Data. However, by using our services, you grant CodeThreat a limited, non-exclusive license to use, reproduce, modify, and distribute your Project Data solely for the purpose of providing and improving our services. We will take measures to protect the confidentiality and security of your Project Data in accordance with applicable data protection laws and our Privacy Policy.

By using our services, you represent and warrant that you have the necessary rights, permissions, and consents to upload, submit, or transmit the Project Data through our platform. We require these rights to analyze and process your Project Data to provide you with the requested services, such as scanning and analyzing code, identifying vulnerabilities, and generating reports and recommendations. We may also aggregate and anonymize the Project Data to generate statistical data and insights for research, development, and improvement purposes, ensuring that any aggregated or anonymized data does not personally identify you or your organization.

We will retain your Project Data for as long as necessary to provide the services to you and as required by applicable laws and regulations. Upon termination of your account or at your request, we will delete or anonymize your Project Data, except where retention is necessary to comply with legal obligations or resolve disputes. We acknowledge the sensitive and confidential nature of your Project Data and will use commercially reasonable efforts to maintain its confidentiality and security. We will not disclose your Project Data to any third party unless required by law, authorized by you, or necessary for providing the services, subject to appropriate confidentiality obligations.

Disclaimer of Warranties

You expressly agree that use of the site and services is at your sole risk. CodeThreat does not evaluate, screen, or censor the applications submitted in connection with the services or the applicants themselves. CodeThreat is not involved in and does not control the transaction between a job applicant and you. Accordingly, CodeThreat is not responsible for your interaction with any person who contacts you, including job applicants, in connection with your use of the services or the site.

CodeThreat disclaims any responsibility arising from any malicious use of these services, non-compliance with usage prohibitions, and the consequences thereof. If CodeThreat incurs any damage due to non-compliance with these provisions, CodeThreat reserves the right to pass on any incurred damages to users.

The site and services are provided on an “as is” and “as available” basis. We expressly disclaim all warranties of any kind, express or implied, with respect to the site and services available at the site, including without limitation any warranty of merchantability, fitness for a particular purpose or non-infringement.

We make no warranty that the site or services will meet your requirements, or that the site or services will be uninterrupted, timely, secure, current, accurate, complete or error-free.

Limitation of Liability

You understand and agree that CodeThreat and its affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, or exemplary damages arising out of or in connection with the use of our services. This includes, but is not limited to, damages for loss of profits, data, or other intangible losses, even if CodeThreat has been advised of the possibility of such damages.

In no event shall CodeThreat's total liability to you exceed the amount you have paid to us, if any, for the use of our services in the twelve (12) months preceding the event giving rise to the liability.

CodeThreat shall not be liable for any delay or failure to perform its obligations under these terms and conditions caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or technical failures.

You acknowledge that the limitations and exclusions of liability set forth in this section are reasonable and form an essential basis of the agreement between you and CodeThreat, and that CodeThreat would not be able to provide the services to you on an economically reasonable basis without such limitations.

Indemnification

Unless prohibited by applicable law, you agree to indemnify and hold harmless each of CodeThreat, its parents, subsidiaries, affiliates, and all of their respective officers, directors, employees and agents, from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from or related to (1) your use of this site or any services, (2) the violation of these terms of use by you, or (3) the infringement by you, or any other user using your account, of any intellectual property or other right of any person or entity. If you are obligated to indemnify us hereunder, we may, in our sole discretion, (1) control the defense and disposition of any such claims at your sole cost and expense or (2) require you to defend CodeThreat with counsel of our choosing. Without limiting the foregoing, you may not settle, compromise or in any other manner dispose of any third-party claim without our consent.

Miscellaneous

These terms and conditions, together with any additional agreements or policies referenced herein, constitute the entire agreement between you and CodeThreat regarding the use of our services. They supersede any prior agreements or understandings, whether written or oral. If any provision of these terms and conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The failure of CodeThreat to enforce any right or provision of these terms and conditions shall not constitute a waiver of such right or provision unless acknowledged and agreed to in writing. You may not assign, transfer, or sublicense any of your rights or obligations under these terms and conditions without the prior written consent of CodeThreat. CodeThreat may freely assign, transfer, or delegate any of its rights or obligations under these terms and conditions. The provisions of these terms and conditions that, by their nature, should survive termination or expiration, shall survive, including but not limited to the sections on Intellectual Property, Limitation of Liability, and Indemnification.
